Terms of Service

Effective: April 3, 2026 · Last reviewed: April 3, 2026

1. Agreement to Terms

By accessing or using fez (“the Platform”) at onfez.com, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Platform. These Terms constitute a legally binding agreement between you and fez.

2. Description of Service

fez provides a secure, web-based platform that enables authorized education counselors to manage their admissions counseling practice. The Platform is a tool that assists counselors in their work — it does not itself provide educational counseling, guarantee admissions outcomes, or act as an educational institution.

3. Eligibility

You must be at least 18 years old to create a counselor account. Student accounts may be created for individuals aged 13 or older, subject to appropriate parental or guardian consent as required by applicable law. By using the Platform, you represent that you meet these eligibility requirements.

4. Account Responsibilities

  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized access to your account.
  • You may not share your account credentials with others or allow others to access your account.
  • Counselors are responsible for the accuracy and legality of data they enter on behalf of students.
  • Counselors must obtain appropriate consent before entering student information into the Platform.

5. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable law or regulation
  • Enter false, misleading, or fraudulent information
  • Attempt to gain unauthorized access to other users' accounts or data
  • Interfere with or disrupt the Platform's infrastructure or security measures
  • Reverse engineer, decompile, or disassemble any part of the Platform
  • Use the Platform to discriminate against any individual on the basis of race, gender, religion, national origin, disability, or any other protected characteristic
  • Scrape, harvest, or collect data from the Platform by automated means
  • Resell, sublicense, or redistribute access to the Platform without written authorization

6. Intellectual Property

The Platform, including its design, code, features, documentation, and branding, is the exclusive property of fez and is protected by intellectual property laws.

Your Content: You retain ownership of all data and content you enter into the Platform. By using the Platform, you grant us a limited, non-exclusive license to store, process, and display your content solely for the purpose of providing the service to you. We do not claim ownership of your student data, documents, or materials.

7. No Guarantee of Outcomes

fez is a management and productivity tool for education counselors. We do not guarantee any specific admissions outcomes, scholarship awards, visa approvals, or financial aid decisions. The Platform does not provide legal, financial, or immigration advice. Any guidance generated through the Platform is intended to assist the counselor and should not be relied upon as a substitute for professional judgment.

8. Payment Terms

If your use of fez involves a paid subscription or service, payment terms will be communicated to you at the time of purchase. All fees are non-refundable unless otherwise stated in writing. We reserve the right to modify pricing with 30 days' notice to active subscribers. Failure to pay may result in suspension or termination of your account.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • fez's total aggregate liability arising out of or related to these Terms or your use of the Platform shall not exceed the total fees paid by you to fez in the twelve (12) months preceding the claim.
  • IN NO EVENT SHALL FEZ BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR ADMISSIONS OUTCOMES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise).

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE AT ALL TIMES.

11. Indemnification

You agree to indemnify and hold harmless fez, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Platform, your violation of these Terms, or your violation of any rights of a third party, including any student whose data you enter into the Platform.

12. Account Termination

We may suspend or terminate your account at any time if:

  • You violate these Terms or our Privacy Policy
  • We are required to do so by law
  • Your account has been inactive for an extended period
  • We reasonably believe your account poses a security risk

You may close your account at any time by contacting us. Upon termination, your right to use the Platform ceases immediately. We will handle your data in accordance with our Privacy Policy and applicable data retention laws.

13. Dispute Resolution

Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved within 30 days, either party may pursue resolution through binding arbitration administered under the rules of the American Arbitration Association. The arbitration shall be conducted in English. Each party shall bear its own costs unless the arbitrator determines otherwise.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Tennessee, without regard to its conflict of law provisions.

15. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated to registered users via email at least 30 days before they take effect. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
